Governance Question
I need some input
from camp directors concerning the governance structure at your camp. Minnesota
is considering changing the structure and is gathering information from
Conference Ministers, Camp Directors and not-for-profits.
What is your structure?
Separately incorporated? Wholly owned subsidiary? A sub committee of the
conference board? Others?
What are some
pros?
What are some cons?
What are some of the funding
models that work well? Can you fundraise on your own? Do you coordinate
fundraising with your conference? Does your conference support the ministry of
the conference financially? If so how is that funding realized? Budget subsidy?
Provide staffing? Provide insurance? Provide facilities? Lease
facilities?
What is the personnel
structure. Do you report to your board? Do you report to the conference
minister? Who supervises and has hiring/firing responsibility for site staff?
Please share anything else that
might be helpful to Minnesota or other conferences that may be interested in
restructuring governance.

Dale,
Here is the situation for Slumber Falls Camp in the South Central Conference.
1. The camp is owned by the Conference. The Conference Attorney has addressed the question of a spin off in the past and is totally against it since he claims that it is a liability issue. He feels that the Conference is much more lawsuit proof since it would be a suit against all of the churches rather than simply a camp board of directors.
2. Camp Council, 12 members elected by the Conference at the annual meeting and meets 4x a year. The committee exists only at the behest of the Conference Board of Directors. There is a Plan of Organization that outlines their duties and job description.
3. I am hired by the Conference Board of Directors and do attend their meetings (4x a year) to report on the camp.
4. I have sole authority over the hiring and firing of all camp staff.
5. The Conference does not provide any direct funding of the camp but they do split the Property and Liability Insurance 50/50 which acts in some way as a subsidy since their part would be minimal.
6. We have done special financial appeals to the churches in the past with Conference Board approval.
